The Website is operated by NovaLexi Company, a one-person limited liability company registered in the Kingdom of Saudi Arabia (Commercial Registration No. 7053584103), with its registered office in Riyadh, Kingdom of Saudi Arabia ("NovaLexi," "we," "us," or "our"). These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, as set out in Section 13.

These terms and conditions ("Terms") govern your use of the Website and any related services. By accessing or using the Website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you should not use the Website.

1.1. NovaLexi is an AI-native technology company specializing in intellectual property (IP) management infrastructure. Our platform provides advanced tools for IP lifecycle management, analytics, and governance.

1.2. These Terms, together with our Privacy Policy and AI Policy, govern your access to and use of the Website. By accessing the Website, you accept and agree to be bound by these Terms and any additional terms and conditions that may apply to specific sections of the Website or services offered through it. Access to the NovaLexi platform itself is governed by a separate written agreement between NovaLexi and your organization; if there is any conflict between these Terms and that agreement, that agreement prevails for platform use.

2.1. By accessing or using the Website, you represent that you are at least 18 years old and have the legal capacity to enter into and comply with these Terms.

6.1. We handle personal data in accordance with the Saudi Personal Data Protection Law (PDPL) and its implementing regulations and, where applicable, the EU/UK General Data Protection Regulation (GDPR). Our Privacy Policy explains what we collect, how we use it, your rights, and how to exercise them.

6.2. Our use of artificial intelligence in our products and services, and the safeguards around it, are described in our AI Policy.

8.2. NovaLexi's total liability to you for all claims arising from or related to your use of the Website or these Terms shall not exceed the greater of the amount you paid to NovaLexi for access to the Website or USD 100 (or its equivalent in Saudi Riyals).

8.3. Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so the above limitations may not apply to you. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnification

9.1. You agree to indemnify, defend, and hold harmless NovaLexi, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, damages, expenses, and costs, including reasonable attorneys' fees, arising out of or related to your use of the Website, any User Content you submit, or any violation of these Terms.

12.1. We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation, if you breach these Terms.

12.2. Upon termination, your right to use the Website will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Jurisdiction

13.1. These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, and any dispute arising out of or relating to these Terms or the Website shall be subject to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia.

Severability

14.1. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver

15.1. No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NovaLexi to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

16.1. These Terms, together with our Privacy Policy, our AI Policy, and any other legal notices published by NovaLexi on the Website, constitute the entire agreement between you and NovaLexi with respect to the Website and supersede all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between you and NovaLexi.

Language

17.1. These Terms are published in Arabic and English. In case of any conflict or discrepancy between the two versions, the Arabic version prevails.
